Jill Sutton joined General Motors as corporate secretary and deputy general counsel for corporate, finance and strategic transactions, effective July 15, 2015. In this role, she is responsible for legal support for strategic transactions, debt and finance transactions, securities, treasury, tax, accounting and other corporate matters. Sutton also has legal oversight of General Motors Asset Management. As corporate secretary, she advises and supports the GM Board of Directors and its committees.
Prior to joining General Motors, Sutton was executive vice president, general counsel and corporate secretary of Tim Hortons, Inc. She advised the company regarding a variety of significant transactions, including its initial public offering, spinoff from Wendy’s International, Inc., its repatriation to Canada, debt and equity transactions, and its eventual sale to Burger King.
Prior to joining Tim Hortons, Sutton was corporate counsel at Wendy's International, Inc. and practiced corporate and health care law for Squire Sanders LLP and Eastman & Smith Ltd. Sutton earned a Juris Doctor degree, Master of Health Administration degree and Bachelor of Arts degree from The Ohio State University. In addition to being licensed to practice law in the U.S. (Ohio and Michigan), Sutton is admitted to the bar in Canada as a barrister and solicitor.
