User Generated Content Consent

I grant to General Motors Holdings, LLC (“Advertiser”), and their related and affiliate entities (collectively “Licensees”), a perpetual, royalty-free license to use and assign the use of my social post, including my own or fictitious name, handle(s) and likeness, words, images, and/or videos contained therein (collectively, the “Post”), requested by Agency on behalf of Advertiser in any media now known or hereafter devised worldwide, without limitation. Licensees have no obligation to use the Post or any portion thereof, nor to obtain my prior approval, nor shall they be liable for any cropping, editing, alterations, distortions, overlays, or other effects of the Post or any reproductions and/or additions thereto.

I represent and warrant that (1) I am a U.S. citizen 18 years of age or older and have the full right and authority to consent to these terms, (2) I have full ownership rights to the Post or have obtained all permissions needed to permit Agency and Advertiser to use or exploit the Post or any portion thereof, and (3) such use or exploitation will not violate any third party rights. I will indemnify Licensees from and against all claims resulting from Agency and/or Advertiser’s use of the Post. These terms shall be governed by the laws of the State of Michigan.
